This template should be used if you’d like to “license“ your Intellectual Property – in this case, your Trademarks (your names, taglines, logos and other brand identifiers).
A license is where the owner of the asset (copyright, trademark or trade secret) gives another party permission to USE the work (subject to clearly defined terms), while retaining actual ownership of the IP.
In other words, unlike assignments, where you’re selling all of your rights in the IP to another person or entity, granting a license means that you’re simply giving another person or another business the right to use your work – usually in exchange for some money.
If the objective is to transfer ownership, an IP Assignment Agreement is the correct instrument.
